PowerMax Wholesale Account and Dealer Portal Terms

Effective Date: September 17, 2026

These PowerMax Wholesale Account and Dealer Portal Terms (“Account Terms”) govern wholesale purchasing privileges and access to the PowerMax Dealer Resource Portal. These Account Terms supplement the general PowerMax Terms & Conditions, warranty policies, return policies, privacy policy and any other written agreement between PowerMax Converters (“PowerMax”) and the applicant.

By applying for, accepting or using a wholesale account or Dealer Portal account, the applicant and each authorized user agree to these Account Terms.

1. Account Types

Wholesale Account

A Wholesale Account permits an approved business to purchase eligible PowerMax products at approved wholesale pricing for resale or authorized commercial use.

Approval of a Wholesale Account does not guarantee:

  • Credit terms
  • Product availability
  • Exclusive pricing
  • Protected territory
  • Minimum margin
  • Sales leads
  • Exclusive distribution rights
  • Authorization to sell through every sales channel

Dealer Portal Account

A Dealer Portal Account gives an approved individual access to designated PowerMax sales, marketing, product and training resources.

Portal access may be granted to approved:

  • PowerMax dealers
  • Distributors
  • Sales representatives
  • Manufacturer representative groups
  • Commercial customers
  • Service partners
  • Other authorized business partners

Portal access does not automatically create a Wholesale Account or establish an authorized dealer, distributor, agency, franchise or exclusive sales relationship.

2. Eligibility and Application Information

The applicant represents that all information submitted to PowerMax is accurate, current and complete.

PowerMax may request supporting information, including:

  • Legal business name
  • Business address
  • Business website
  • Federal Employer Identification Number
  • State resale or tax-exemption certificate
  • Business license
  • Accounts-payable contact
  • Trade or credit references
  • Authorized purchasing contacts
  • Sales channels and marketplace accounts
  • PowerMax salesperson or representative relationship

Applicants must promptly notify PowerMax of material changes to their ownership, contact information, tax status, billing information, sales channels or business operations.

PowerMax may approve, deny, limit, suspend or revoke an account at its discretion, subject to applicable law.

3. Individual User Accounts

Each Dealer Portal user must have an individual account registered to that user’s business email address.

Users may not:

  • Share usernames or passwords
  • Allow another person to use their account
  • Create an account using false information
  • Transfer portal access to another person or business
  • Attempt to access resources outside their assigned permission level
  • Use automated tools to scrape, copy or download portal content in bulk
  • Circumvent security, access controls or download restrictions

The account holder is responsible for maintaining the confidentiality of login credentials and for activity occurring through the account.

Suspected unauthorized access, compromised credentials or changes in employment must be reported promptly to PowerMax.

4. User Administration

A Wholesale Account holder may designate employees to place orders or access dealer resources. The account holder is responsible for ensuring that its authorized users comply with these Account Terms.

When a user leaves the company or no longer requires access, the account holder must promptly notify PowerMax.

PowerMax may:

  • Require password changes
  • Require additional account verification
  • Reassign user permissions
  • Suspend inactive accounts
  • Remove former employees
  • Require periodic account reapproval
  • Terminate access when a business relationship ends

5. Wholesale Pricing

Wholesale pricing is confidential and is available only to approved accounts.

Pricing may:

  • Vary by product, quantity, program, account classification or sales channel
  • Be changed without prior notice unless otherwise agreed in writing
  • Exclude freight, taxes, duties, fees and special handling
  • Be withdrawn when an account no longer satisfies eligibility requirements
  • Be corrected when a quotation, price sheet or system entry contains an error

The most recently issued written PowerMax price list or quotation controls unless PowerMax has agreed otherwise in writing.

Wholesale pricing may not be published, distributed or disclosed to unauthorized third parties.

6. Orders and Acceptance

All purchase orders and orders are subject to:

  • PowerMax acceptance
  • Product availability
  • Credit approval
  • Applicable minimum-order requirements
  • Current pricing
  • Shipping and account status
  • Any product or channel limitations communicated by PowerMax

An order confirmation does not prevent PowerMax from correcting an obvious pricing, quantity or product-information error.

PowerMax may reject, cancel, allocate or limit an order when reasonably necessary because of inventory limitations, account status, suspected fraud, policy violations, pricing errors or other legitimate business considerations.

Changes or cancellations requested after order processing begins may not be accepted and may be subject to applicable costs.

7. Payment and Credit Terms

Orders must be paid using a payment method approved by PowerMax.

Credit terms, including any NET 30 terms, are granted only after written approval and may be changed, suspended or revoked based on payment history, credit information or account risk.

Past-due balances may result in:

  • Delayed or suspended shipments
  • Loss of credit privileges
  • Suspension of wholesale pricing
  • Finance charges where permitted by law
  • Collection activity
  • Recovery of reasonable collection costs where permitted by law

Taking a deduction, chargeback or offset without PowerMax’s written approval does not resolve the underlying balance.

8. Taxes and Resale Documentation

Wholesale Account holders are responsible for providing current and accurate resale or tax-exemption documentation.

The account holder is responsible for all applicable sales, use, excise, import and similar taxes unless a valid exemption applies.

The account holder must notify PowerMax if its resale certificate expires, is revoked or is no longer applicable. PowerMax may charge applicable taxes when valid documentation is not on file.

9. Shipping, Inspection and Returns

Shipping, delivery, risk of loss, inspection, returns, restocking charges and freight claims are governed by the current PowerMax Terms & Conditions and applicable written account agreements.

Customers must inspect shipments promptly. Visible damage, shortages, incorrect products or other shipping discrepancies must be reported within five business days after receipt unless a different period is stated in writing.

Returns require prior authorization from PowerMax. Products returned without authorization may be refused.

10. Authorized Sales Channels

A Wholesale Account does not automatically authorize the account holder to sell PowerMax products through every retail or online channel.

Unless PowerMax provides prior written authorization, account holders may not sell PowerMax products through third-party marketplaces or channels that PowerMax designates as restricted, including marketplace accounts operated under another business name.

Account holders may not:

  • Misrepresent themselves as PowerMax
  • Represent that they are an exclusive distributor or representative without written authorization
  • Sell counterfeit, altered, relabeled or materially modified products as new PowerMax products
  • Remove or alter serial numbers, safety labels, warranty information or product identification
  • Combine PowerMax products with misleading or incompatible accessories
  • Make inaccurate product, performance, compatibility or warranty claims
  • Supply another reseller for the purpose of avoiding PowerMax account or channel restrictions

Any PowerMax resale pricing, advertised-pricing or channel policy provided separately is incorporated into these Account Terms to the extent permitted by applicable law.

11. Product Representation and Advertising

Dealers must describe PowerMax products accurately and use current product specifications, compatibility information, warranty terms and safety information.

Dealers are responsible for ensuring that their advertising and sales practices comply with applicable laws and platform requirements.

A dealer may not:

  • Make unapproved performance or safety claims
  • Extend or modify the PowerMax warranty without written authorization
  • Represent an item as compatible when compatibility has not been verified
  • Use outdated specifications after receiving updated information
  • Publish false, deceptive or misleading advertising
  • Create the impression that PowerMax sponsors an offer, promotion or statement that PowerMax has not approved

Dealers remain responsible for their own prices, promotions, customer communications and legal compliance.

12. Dealer Portal Materials

The Dealer Portal may contain:

  • Product specifications
  • Sales sheets
  • Product images
  • Videos
  • Email campaign graphics
  • Social media materials
  • Presentations
  • Comparison guides
  • Training materials
  • Promotions
  • Pricing information
  • Warranty and service documents
  • Other business resources

PowerMax may add, update, replace, expire or remove materials at any time.

Users are responsible for confirming that they are using the most recent version of a document before distributing or relying upon it.

13. Limited License to Use Marketing Materials

PowerMax grants approved users a limited, revocable, non-exclusive, non-transferable license to use authorized Dealer Portal materials solely to market and sell genuine PowerMax products.

Unless PowerMax approves otherwise in writing, users may not:

  • Alter the PowerMax name or logo
  • Change product specifications or warranty language
  • Remove copyright, trademark or ownership notices
  • Use PowerMax materials to promote competing or counterfeit products
  • Sell, license or redistribute portal materials as standalone content
  • Provide editable source files to unauthorized parties
  • Use PowerMax intellectual property in a business name, domain name, social account name or marketplace storefront name
  • Suggest ownership of or rights in PowerMax trademarks
  • Use materials after account access or authorization has ended

Reasonable resizing and formatting for an approved advertisement is allowed if the content remains accurate, legible and consistent with PowerMax brand guidelines.

PowerMax may require the correction or removal of any use that is inaccurate, outdated, misleading, low-quality or inconsistent with its brand standards.

14. Confidential Information

Nonpublic pricing, programs, account information, product-launch information, sales strategies, unpublished materials, rep resources and materials labeled confidential must be treated as confidential information.

Users may share confidential information only with employees or contractors who:

  • Need it for the authorized PowerMax business purpose
  • Are bound to protect its confidentiality
  • Are not competitors of PowerMax

Confidential information may not be published, forwarded to unauthorized parties or used for competitive analysis unrelated to the account relationship.

These restrictions do not apply to information that the recipient can demonstrate was lawfully public, independently developed or lawfully received from another source without a confidentiality obligation.

15. Portal Monitoring and Records

PowerMax may monitor and record portal activity for legitimate business and security purposes, including:

  • Registration information
  • Login dates
  • Account activity
  • IP address and device information
  • Resources viewed
  • Documents downloaded
  • Failed login attempts
  • Changes to user permissions

This information may be used to administer accounts, maintain security, improve dealer resources, investigate misuse and understand resource utilization.

Information will be handled in accordance with the applicable PowerMax Privacy Policy.

16. Intellectual Property

PowerMax retains all ownership rights in its trademarks, product names, photographs, graphics, videos, manuals, technical information, training materials, website content and Dealer Portal materials.

No ownership rights are transferred through a Wholesale Account, Dealer Portal Account or authorized use of PowerMax materials.

Except for the limited permission expressly granted in these Account Terms, no license or right is granted by implication.

17. No Agency or Exclusivity

The account holder is an independent business.

Nothing in these Account Terms creates:

  • An employment relationship
  • A partnership
  • A joint venture
  • A franchise
  • A fiduciary relationship
  • An agency relationship
  • An exclusive territory
  • Authority to bind PowerMax

Dealers, distributors and representatives may not make commitments, warranties or representations on behalf of PowerMax unless expressly authorized in writing.

18. Suspension and Termination

PowerMax may suspend or terminate purchasing privileges or portal access for reasons including:

  • False or incomplete application information
  • Nonpayment
  • Unauthorized account sharing
  • Unauthorized marketplace sales
  • Trademark or content misuse
  • Misrepresentation of PowerMax products
  • Improper disclosure of confidential information
  • Fraudulent or abusive activity
  • Security concerns
  • Violation of these Account Terms
  • Termination of the underlying business relationship
  • Extended account inactivity

Following termination, the user must stop using confidential materials, wholesale pricing and any PowerMax content no longer authorized for use.

Sections concerning payment obligations, confidentiality, intellectual property, liability and dispute resolution survive termination where applicable.

19. Account Review and Inactivity

PowerMax may periodically confirm that an account remains active and eligible.

PowerMax may suspend or archive an account that:

  • Has had no qualifying purchase or portal activity for an extended period
  • Cannot be verified
  • Uses an invalid email address
  • Fails to provide updated resale documentation
  • No longer has an active business relationship with PowerMax

Reactivation may require a new application or updated documentation.

20. Disclaimer and Limitation of Liability

Portal materials are provided for authorized business use and may be updated periodically. Users remain responsible for verifying current specifications, pricing, availability, compatibility and warranty terms before making representations to customers.

To the maximum extent permitted by law, PowerMax is not responsible for losses resulting from:

  • A dealer’s unauthorized modification of PowerMax materials
  • A dealer’s inaccurate statements
  • Use of outdated materials after an updated version is available
  • Unauthorized access caused by shared or compromised credentials
  • Third-party platforms, systems or internet interruptions
  • A user’s failure to comply with applicable advertising, privacy or consumer-protection requirements

Additional warranty disclaimers and limitations of liability contained in the general PowerMax Terms & Conditions also apply.

21. Indemnification

To the extent permitted by law, the account holder agrees to defend, indemnify and hold PowerMax and its owners, employees and representatives harmless from third-party claims, losses and reasonable costs arising from:

  • The account holder’s violation of these Account Terms
  • Unauthorized or misleading advertising
  • Unauthorized product modifications
  • Statements or warranties made without PowerMax authorization
  • Misuse of PowerMax intellectual property
  • Unlawful resale practices
  • The acts or omissions of the account holder’s authorized users

This obligation does not apply to the extent a claim is caused by PowerMax’s own negligence, willful misconduct or violation of law.

22. Changes to These Terms

PowerMax may update these Account Terms periodically.

When practical, material changes affecting active accounts will be communicated through the portal, by email or by another reasonable method.

Continued use after the effective date of revised Account Terms constitutes acceptance of the revised terms. If a user does not agree to the revised terms, the user must stop using the account and notify PowerMax.

23. Governing Law

These Account Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute concerning these Account Terms will be handled in the appropriate state or federal court having jurisdiction in or serving Manatee County, Florida, unless PowerMax and the account holder agree to another dispute-resolution process in writing.

24. Entire Agreement and Order of Precedence

These Account Terms, the PowerMax Terms & Conditions, applicable account policies and any signed written agreement constitute the agreement governing the account.

If these Account Terms conflict with a separately signed agreement, the signed agreement controls for the subject addressed by that agreement.

If any provision is held unenforceable, the remaining provisions will continue in effect.

A failure to enforce a provision on one occasion does not waive the right to enforce it later.
